3MV Energy announces demand repayment by its Subordinated Lender, Head Office Staff Reductions and Farm-Out Agreement

/THIS NEWS RELEASE IS NOT FOR DISSEMINATION IN THE UNITED STATES OR TO ANY UNITED STATES NEWS SERVICES./

CALGARY, Sept. 23, 2012 /CNW/ - 3MV Energy Corp. ("3MV" or the "Company") (TSXV: TMV) announces that the Company's lender under its secured subordinated credit facility has made a demand on the Company for repayment of all indebtedness under such facility, which is currently in the amount of $2 MM plus any unpaid accrued interest, by October 19, 2012. The demand is due to the Company being in breach of certain covenants under the facilities as a result of the Company's current working capital deficiency.

Management of 3MV is working with its lenders to come up with a plan to repay the indebtedness under the facilities.

3MV has reduced head office staff and corresponding G&A expenses for anticipated savings of approximately $50 thousand per month.

3MV also announces it has entered into a farm-out agreement with 1696704 Alberta Ltd. ("FarmCo") to drill two wells on 3MV's Fiske property, with FarmCo funding 100% of costs to completion to earn 75% interest subject to existing royalties.? FarmCo is a single purpose corporation formed by 3MV to raise $2 MM to finance the lease preserving wells on the Fiske property.? Upon 3MV completing a further $3.75 MM financing 3MV has the right to exchange 3MV shares and warrants for FarmCo shares and warrants.

Outlook

3MV intends to focus its drilling and production efforts on its highly productive Fiske light oil discovery for the remainder of 2012 and into 2013. With over 34 net sections of land subject to a farm out agreement (of which the Corporation has earned and participated in 2.65 net sections) and another section (crown lease) owned by 3MV Energy, and a recent 19.9 km? 3D seismic program, 3MV Energy has identified and licensed 17 future drilling locations, eight of which the Corporation considers to be infill locations. The Corporation's recent success in the play, with three wells producing over 100 boe/d during the first 30 days of production, has led to significant reserves additions in the area and 3MV Energy intends to build off that momentum as quickly as is practicable with additional capital raised in the upcoming periods.

Oil and Gas Disclosure

For the purpose of calculating unit costs, natural gas volumes have been converted to a barrel of oil equivalent ("BOE") using six thousand cubic feet equal to one barrel unless otherwise stated. A BOE conversion ratio of 6:1 is based upon an energy equivalency conversion method primarily applicable at the burner tip and does not represent a value equivalency at the wellhead. BOEs may be misleading, particularly if used in isolation.

Egypt president stresses Syria resolve

CAIRO (AP) ? Egypt's president on Saturday stressed the need for his country to have a bigger role in international affairs, using his first local television interview to urge the Syrian government to end the carnage coursing through Cairo's onetime ally.

"The Syrian regime needs to understand that the continuation of bloodshed goes against all laws, desires, history and humanity," Mohammed Morsi said in the hour-long interview, broadcast on state TV.

The one-on-one interview addressed a range of issues facing the new president, who was sworn into office on June 30 in the country's first free presidential elections. He assumed the post after a rocky transitional period governed by the country's military, which took power after last year's uprising that ousted longtime President Hosni Mubarak.

Egypt's uprising inspired others in the region, including in Syria.

"Egypt is not on the sidelines of this problem. There is a positive and personal relationship between the Egyptian people and the Syrian people," Morsi said, in a reference to the shortly-lived alliance that ended in 1961 between Egypt and Syria, when both nations shared the same flag as part of a union. "The Syrian struggle pains us now, pains all people of the region."

Syria's bloody 18-month conflict, which activists say has killed nearly 30,000 people, has so far eluded attempts at international mediation.

Morsi has launched an "Islamic Quartet" of regional powers to seek an end to the violence, bringing together Egypt, Turkey, Saudi Arabia and Iran.

However, the quartet faces deep divisions. Sunni led Egypt, Turkey and Saudi Arabia have called on Syrian President Bashar Assad to step down, while Shiite Iran firmly backs him. Saudi Arabia and Iran are also bitter rivals with longstanding disagreements over Gulf security issues.

"I do not believe Iran's presence in the group is part of the problem, but part of the solution" Morsi said, adding that he hopes the four nations along with other countries can meet "at the highest level" on the sidelines of the U.N. General Assembly meeting later this month.

Morsi, who is scheduled to travel Sunday to New York for the U.N. meetings, has been criticized by some in Egypt for focusing too much on foreign affairs and doing little to address Egypt's internal challenges.

In the interview, he explained that in order to help Egypt domestically, he needs to reach out to other nations, particularly in Africa, and increase investments from the West and China to help build the country.

While he did not discuss Israel, with which Egypt has a decades-old peace treaty following years of war, Morsi said that "there cannot be peace in the Middle East without giving Palestinians their full rights."

"This is what the peace treaty was based on ? a full and balanced (regional) peace," he said, referring to the 1979 accord that ended decades of hostility between Egypt and Israel, but did not contain the conflict between Palestinians and Israelis.

"Egyptians are always and will always be supportive of their Palestinian brothers, all Palestinians," he said. Palestinian militant group Hamas, which rules the Gaza Strip, is itself an offshoot of Morsi' Muslim Brotherhood group, which has long rallied for Palestinian statehood.

Earlier on Saturday, Egypt's Supreme Administrative Court upheld last summer's ruling that dissolved parliament just days before Morsi was declared victor in the elections.

The ruling means that Morsi now maintains legislative powers in the absence of parliament, after the forced retirement of generals with which he previously shared powers.

"I will not use my legislative powers except in a very limited framework," he said in the interview.

93% Farewell, My Queen

If you are expecting a French film chronicling the last days of Marie Antoinette, then you may be in for a slight disappointment. Brilliantly directed by the Benoit Jacquot (who also co-wrote the much less impressive script) and starring Diane Kruger as Marie Antoinette and Lea Seydoux, who plays one of the Queen's readers named Sidonie Laborde, and is also the protagonist of this film (for some reason) "Farewell, My Queen" is advertised as the story of the last days of Marie Antoinette, but it's more like the somewhat muted story of the two months before the "last days" of Marie Antoinette. So, even though "Farewell, My Queen" is a better movie than Sofia Coppola's ill advised, indie rock inspired, "Marie Antoinette", due to the faux-final-days story structure, in conjunction with the fact that "Farewell, My Queen" uses Marie Antoinette as a side character, telling the story from the point of view of Sidonie Laborde (a nobody) this is a film which may have many audiences scratching their heads as to why the need to show this particular moment in the life of Marie Antoinette. As I alluded to above, "Farewell My Queen" chronicles a miniscule portion in time during the last months of Marie Antoinette's reign. However, audiences are not treated to "the good part", or the part they undoubtedly came to see. What I mean by this is there are almost no visuals of the actual Revolution, plus (and more importantly) we don't actually get to witness the final days of Marie Antoinette's life simply because "Farewell, My Queen" curiously plays out through the eyes of one of her ladies-in-waiting. Instead, audiences are forced to sit through a pseudo-love story that focuses not on the very interesting end of Marie Antoinette's reign, but on the minutiae right before it! This film is the equivalent of sitting through the love story of Jack and Rose, with the movie ending just before the Titanic strikes the iceberg. Yes, I am aware that this is a script which was adapted from a critically acclaimed novel by Chantal Thomas, BUT it still doesn't make the story's focus any less misguided. I mean, there are some scenes which do attempt to create a somewhat intriguing love story, an aspect which must be fully accredited to some fantastic mood setting by Jacquot, but in the same vein, this film never rises above said simplistic love story. Side Note: Another issue many audiences will likely come across is how frivolously "Farewell, My Queen" throws its viewers right into the deep end of this story, with little exposition. In fact, the greatest individual flaw which hinders "Farewell, My Queen" will be seen in the audiences immediate realization that neither Jacquot's visuals or the engaging performances (which I will speak about later) are going to give those not formally versed in the players of the French Revolution and the fall of Versailles, the background information they may desperately desire, as this film half-introduces more and more characters of seeming importance. So, do yourself a favor, if you are going to see "Farewell, My Queen" (at the very least) peruse the Marie Antoinette Wiki page before going to see this film. With that said, the visuals (the set design in conjunction with the director) are somewhat breathtaking at times, due to Jacquot making some very brave directorial choices, including tons of long takes which trail behind characters as they weave in and out of crowds, giving audiences an intimate feeling of the atmosphere of late 1700's France, and a few beautifully constructed shots of the landscapes. And I guess it doesn't hurt that the two female leads, Seydoux and Kruger, both give engaging performances. But even if Kruger's interpretation of Antoinette is one of the best I've ever seen and Seydoux is so captivating to watch as she effortlessly takes control of the movie every time she is on screen, there is simply not enough in the story or the writing to give reasoning to the eccentric behavior or motives behind the actions of Marie Antoinette or (more importantly) give a reason as to why Sidonie is so infatuated with her. So, even though, in the latter half of the film (more than an hour in) Jacquot does create an atmosphere which allows these characters to somewhat blossom, many will find it hard to care about a Marie Antoinette story that contains no beheadings. Final Thought: Based on a "last days" plot which attempts to imitate a much better film like "Downfall", even with some spectacular direction and two engaging female performances, "Farewell, My Queen" is nothing more than this year's "My Week With Marilyn", telling a story which focuses on characters nobody really cares about, rather than simply creating a storyline around the life/last days of (in this case) Marie Antoinette. So, even if you are a Marie Antoinette fan, with the overall structure the way it is, "Farewell, My Queen" is nothing more than DVD worthy at best.
